DIGINALIN / GENERAL TERMS OF COOPERATION

General Terms of Cooperation

These General Terms of Cooperation govern business-to-business cooperation between Diginalin s.r.o. and clients ordering creative, marketing, video, website development, maintenance or related digital services.

The accepted quotation, order confirmation, service plan or individual agreement defines the specific scope, price and delivery schedule. If it differs from these terms, the individually agreed document prevails.

1. Service provider

Diginalin s.r.o.
Veľkodunajské nábr. 4964/1C, 945 01 Komárno, Slovakia
Company ID: 57589666
Tax ID: 2122834131
Email: This email address is being protected from spambots. You need JavaScript enabled to view it.

2. Scope and application

These terms apply to video advertising and production, social media content and support, graphic design, Joomla website design and development, website maintenance, technical support, creative and marketing consulting, and individually agreed digital services. They apply unless the parties agree otherwise in writing.

3. Formation of cooperation

Cooperation is formed when the client accepts a quotation or order confirmation in writing, pays an agreed advance, or expressly requests Diginalin to begin work. Email approval is considered written approval. The project documents together with these terms form the agreement between the parties.

4. Scope, price and additional work

The quotation defines the included deliverables, price, schedule and revision allowance. Requests outside the agreed scope are additional work and may affect price and timing. Diginalin will communicate a material change before carrying it out. Third-party costs, licences, advertising budgets, hosting, domains, paid extensions, stock assets and travel are included only when expressly stated.

5. Client cooperation

The client must provide accurate briefs, texts, brand materials, access credentials, approvals and other required inputs on time. The client confirms that materials supplied to Diginalin may lawfully be used. Delays or incomplete inputs may extend delivery dates and change the production schedule.

6. Production, delivery and approval

Delivery dates are based on timely client cooperation and availability of required third-party services. Drafts are delivered through the agreed communication or file-sharing channel. The client should review them without undue delay. A deliverable is considered approved when the client confirms approval in writing, publishes or uses it, or requests work on the next approved production stage.

7. Revisions

The number and scope of revisions are defined in the quotation or service plan. A revision adjusts an existing approved direction; it does not constitute a new concept, new brief or replacement of previously approved work. Additional revisions and changes after approval may be quoted separately.

8. Social media visibility plans

Launch, Momentum and Authority are recurring content-production plans. Their current deliverables, supported platforms and publishing assistance are defined on the relevant service page and confirmed in the client’s quotation. Unused monthly production capacity does not automatically transfer to a later period unless agreed in writing. Platform reach, engagement, sales or algorithmic performance cannot be guaranteed.

9. Original visual, music and content production

Diginalin creates the visual, graphic, animation and music materials used in advertising videos, visual social media advertising and website productions as original in-house production, unless a quotation or individual agreement expressly states otherwise. This principle does not apply to fonts or to logos, trademarks, packaging, product designs, product photographs and other materials supplied or specified by the client. The client confirms that it is authorised to provide and use those materials for the agreed purpose. Fonts and any necessary third-party technical elements are used in accordance with their applicable licence terms. Unless expressly agreed otherwise, the client receives final exported deliverables rather than editable project files, working files, raw footage or separate source materials.

10. Websites and technical services

Website work is delivered according to the agreed specification and the technical possibilities of Joomla, the selected template, extensions, hosting and external services. Differences between devices and browsers are normal within reasonable responsive behaviour. Ongoing maintenance, backups, security monitoring, extension renewals and post-launch content changes are included only when expressly agreed.

11. Fees, invoicing and payment

Fees and payment milestones are stated in the quotation or invoice. Diginalin may require an advance before reserving production capacity or beginning work. Invoices are payable by the stated due date. If payment is overdue, Diginalin may pause work, delivery, publishing support or access to services until payment is received. Applicable taxes are handled according to the legal status shown on the invoice.

12. Cancellation and suspension

If the client cancels or indefinitely suspends commissioned work, the client pays for completed work, reserved production capacity that can no longer reasonably be reassigned, and non-cancellable third-party costs. For recurring services, the notice period stated in the quotation applies; if none is stated, cancellation should be delivered before the next production cycle begins.

13. Intellectual property and usage rights

Unless agreed otherwise, the client receives the agreed usage rights to final approved deliverables after full payment. Diginalin retains ownership of its methods, templates, reusable systems, know-how and pre-existing materials. Editable source files and exclusive transfer of rights are included only when expressly agreed. The client remains responsible for trademarks, claims and materials supplied by the client.

14. Portfolio and confidentiality

Diginalin may identify the client and present completed public work in its portfolio, website, social channels and professional presentations unless confidentiality or an embargo is agreed in writing. Both parties must protect non-public business information received during the cooperation.

15. Responsibility and third-party services

Diginalin performs services professionally and with reasonable care but does not guarantee specific commercial, advertising, search, social-media or sales results. Diginalin is not responsible for outages, policy changes, account restrictions or technical changes made by hosting providers, social platforms, search engines, extension vendors or other third parties. Nothing in these terms excludes liability that cannot lawfully be excluded.

16. Defects and corrective action

The client should report an objective defect promptly and describe it sufficiently for verification. Diginalin will correct a reproducible defect that causes the delivery not to match the agreed specification. Subjective preference changes, new requirements, client modifications and third-party changes are not defects.

17. Data and access security

Access credentials should be shared through a reasonably secure channel and limited to the access required for the service. The client remains responsible for maintaining authorised users and secure credentials unless administration is included in the service. Personal data is processed only to the extent necessary for cooperation and in accordance with applicable data-protection rules.

18. Final provisions

The parties should first attempt to resolve disagreements through direct communication. The cooperation is governed by the laws of the Slovak Republic. If any provision is invalid or unenforceable, the remaining provisions remain effective. Diginalin may update these terms for future orders; the version accepted for an existing order continues to govern that order unless the parties agree otherwise.
